1. Overview

BuyQ is pleased to offer a rebate to our participating customers based on their eligible purchases made through the BuyQ group purchasing contract (Contract #BQ-MP-001) with Amazon Business. The terms and conditions herein govern the eligibility and payment of the Rebate.

2. Rebate Percentage

The Rebate shall be calculated at 0.25% of the customer's total eligible purchases made through the BuyQ group purchasing contract with Amazon Business during the first calendar year of contract usage ("Eligible purchases").

3. Eligibility

To qualify for the Rebate, the customer must meet the following criteria: a. The customer must have a minimum Eligible Spend of $100,000.00 (One Hundred Thousand Dollars) during the applicable calendar year. b. The customer must be a participant in the BuyQ group purchasing contract with Amazon Business.

4. Rebate Payment

a. Payment Method: The Rebate will be paid by BuyQ to the qualifying customer via check.

b. Payment Timing: The Rebate will be paid within 60 days after BuyQ receives the final sales report from Amazon Business for the applicable calendar year. BuyQ expects to receive this report approximately 60 days after the end of each calendar year.

c. Customer Contact: To ensure accurate delivery of the Rebate payment, BuyQ will make reasonable efforts to contact the designated recipient at the qualifying customer's organization before sending the payment. It is the customer's responsibility to provide BuyQ with up-to-date contact information.

5. Automatic Qualification

Customers meeting the eligibility criteria will qualify automatically for the Rebate. No additional action is required by the customer to claim the Rebate.

6. Exclusions and Limitations

a. Non-Qualifying Spend: Purchases that do not fall under the BuyQ group purchasing contract with Amazon Business are excluded from the Eligible Spend calculation.

b. Finality of Reports: The Rebate will be calculated based on the final sales report provided by Amazon Business. Any disputes regarding the Eligible Spend or Rebate amount must be submitted in writing to BuyQ within 30 days of the Rebate payment date.

7. Modifications and Termination

BuyQ reserves the right to modify or terminate these Terms at any time without prior notice. Any modifications or termination will not affect the Rebates earned on Eligible Spend made prior to the effective date of such changes.
